Vehicle Registration Document or Vehicle Licence of your vehicle is an essential document for us to verify the information of your vehicle and must be submitted. If Autotoll Limited (“Our Company”) does not receive your Vehicle Registration Document Copy within one week, our company will approach Transport Department to obtain the copy of this Document. The $45 charged by the Transport Department will be deducted from your Autotoll account without prior notice. 2. The prepaid amount will change according to the vehicle type and total number of vehicles registered under one Autotoll account (please refer to the “Initial Prepaid Amount” for details). Autotoll will change the amount of auto top-up by bank autopay or Autotoll Credit Card accordingly without notifying and obtaining authorization from the autopay user or credit card holder. For auto top-up account, please complete the Direct Debit Authorization Form if the limit of each payment is not enough. 3. The Autotoll Tag must be installed in the specified vehicle registered with Autotoll Limited. The tag holder shall notify Autotoll in writing of any change of the vehicle or vehicle number. Otherwise the vehicle owner may be liable to penalties in relation to the appropriate toll not being paid through Autotoll account under the bylaw of the toll road. Tag Delivery Arrangement & Charge: Sticker Tag will be delivered by surface mail free-of-charge. Other types of tag will be delivered by registered mail and the delivery cost of $20 per tag will be deduced from your Autotoll account.

AUTOTOLL LIMITED - Personal Information Collection Statement

This statement applies to all personal data as defined in the Personal Data (Privacy) Ordinance (“the Ordinance”) which we may collect from you.
Collection of Personal Data
Your personal data will be collected from you through the Application Form completed and submitted by you. Information on the Application Form marked* is mandatory information. If you do not wish to supply such information, we will not be able to process your application and will not be able to provide service to you.
Personal data will also be collected by us from time to time after your application for services has been accepted through our supply of services to you and through our dealings and transactions with you. Furthermore, when your vehicle carrying the Autotoll tag and/or Telematics on-board unit passes through our toll booths and other specific locations, the data on your Autotoll tag and/or Telematics on-board unit and the relevant time will also be collected by us through our intelligent transport related system.
We may also record by camera the licence plate of vehicle passing through Autotoll lanes at toll roads and tunnels. Furthermore, telephone calls between you and our customer service hotlines or staff may be recorded.
Use of Data
Your personal data may be used for the following purposes:-
•	operating and managing the electronic toll collection services and such other services of ours which you may subscribe from time to time, e.g. AutoPark; Logistics and Intelligent Transport Systems and Services, VGo Mobile Application, the operation of e-shopping, etc.;
•	handling and following up your enquiries, suggestions, complaints;
•	investigation of the suspicious transactions;
•	conducting service surveys to better understand your characteristics to improve and enhance our services to you and to design and develop new services for you;
•	credit control and debt collection;
•	assessing your eligibility for our other products or services;
•	prevention or detection of crime;
•	communicating with you;
•	marketing goods and services (including the insurance service of Autotoll Insurance Agent Limited, our wholly owned subsidiary) to you subject to the provisions of the Ordinance;
•	research or survey and as data for logistics and intelligent transport systems and services, e.g. real time traffic information system; journey time information system; speed map panel, operated by us and other third parties provided that all data to be provided to third parties for these purposes will be masked so it cannot be traced back to you or be used to identify you.
Furthermore, recordings of telephone conversations between you and our customer service hotlines or staff may be used for quality control, staff appraisal, and training.

Transfer of Data
Your personal data collected by us will be kept confidential and other than as set out below will not be disclosed by us to any other third party. We may transfer your personal data to the following parties:-
• 	Autotoll Insurance Agent Limited, the wholly owned subsidiary of Autotoll for the purposes of promoting motor and other general insurance services;
•	any actual or proposed assignee of our business of providing the services to which you have subscribed;
•	any person to whom we are compelled to make disclosure under the requirements of any applicable law;
•	any person with your express consent;
•	any data processor (e.g. printer, production house or providers of mailing services) engaged by us to process or handle personal data on our behalf;
•	debt collection agencies to collect any amount due from you;
•	in case you have subscribed for Unitoll services, to Guangdong Unitoll Services Inc. for the purpose of providing the Unitoll services;
•	in case you have subscribed for AutoPark Services to related carpark operators for the purpose of providing such services;
•	image of the license plate of your vehicle passing through toll lanes of toll roads and tunnels may be passed to the relevant toll road or tunnel operator for the purpose of dealing with disputed toll transactions.

Rights of Access and Correction to Data Collected
Under the Ordinance, you have a right to request access to, and to request correction of your personal data held by us. Data Security
All your personal data in our possession are stored on our server in Hong Kong and are accessible only to our authorized employees and contractors. We have also employed state of the art technology to ensure that data about you cannot be accessed by unauthorized persons.

Terms and Conditions for Use of Autotoll Electronic Toll Collection Services

AUTOTOLL LIMITED (“Autotoll”) agrees to issue the Autotoll Tag and to provide electronic toll collection services to the Account Holder and the Account Holder accepts the Autotoll Tag and such services on the following terms and conditions.

1.	Definitions
1.1	In these Terms, unless the context otherwise requires the following words and expressions shall have the following meanings :
(a)	“Administration Fee” means the monthly administration fee referred to in clause 7.1 as applicable to the Specified Vehicle, the amount of which shall be as published by Autotoll from time to time.
(b)	 “Agreement” means the agreement between Autotoll and the Account Holder on these Terms and the terms as set out in the Application Form or agreed to by the Account Holder during Tag Activation as amended from time to time.
(c)	“Application Form” means the document entitled Autotoll Service Application Form completed and agreed by the Account Holder.
(d)	“Account Holder” means the person who is named as the Applicant on the Application Form or during Tag Activation and his successors and assigns.
(e)	“Account Holder’s Fund” means the total of (i) the positive balance, if any, of the Prepaid Account of the Account Holder from time to time; and (ii) the positive balance of Tag Deposit, if any, of the Account Holder from time to time.
(f)	“Autotoll Group” means collectively Autotoll, its holding company, its subsidiaries, other subsidiaries of its holding company.
(g)	“Autotoll Tag” means the device issued by Autotoll to the Account Holder for the purposes of the Agreement from time to time and 
(i)	in the event only one device is issued to the Account Holder, references to “an Autotoll Tag” or “any Autotoll Tag” means such device; and 
(ii)	if more than one device has been issued to the Account Holder, “Autotoll Tag” means all of those devices collectively and “any Autotoll Tag” or “an Autotoll Tag” means any one of them .
(h)	“Commencement Date” means 
(i)	in the event where only one Autotoll Tag has been issued to the Account Holder, either the date of issue of the Autotoll Tag following approval of the Application Form or the date of Tag Activation as the case may be; and 
(ii)	in the event that more than one Autotoll Tag has been issued to the Account Holder, the earlier of the date of issue of the first Autotoll Tag and the date of Tag Activation of the first Autotoll Tag. 
(i)	“Licence” means Autotoll’s licence under the Payment Systems and Stored Value Facilities Ordinance (Chapter 584 of the laws of Hong Kong) as amended, consolidated or replaced from time to time or any other licence which is required by Autotoll to carry out the Services under the laws of Hong Kong from time to time;
(j)	“Minimum Balance” means the minimum balance to be maintained in the Prepaid Account excluding the Tag Deposit, where applicable, related to the Specified Vehicle as published by Autotoll from time to time.
(k)	“Prepaid Account” means the account as referred to in clause 9.1.
(l)	“Prepaid Amount” means the prepaid amount applicable to the Specified Vehicle as published by Autotoll from time to time;
(m)	“Related Agreements” means other agreements which Autotoll may have with the Account Holder from time to time for the supply of additional goods, services or benefits to the Account Holder and which are referred to as Related Agreements of the Agreement and a “Related Agreement” means any one of them.
(n)	“Services” means the services to be provided by Autotoll as set out in clause 2.1.
(o)	“Service Charges” means the various service charges referred to in clause 7.3 as published by Autotoll from time to time.
(p)	“Signal Lights” means the lights installed at each lane designated for payment of toll using the Autotoll Tag at each Toll Site as referred to in clause 4. 
(q)	“Specified Vehicle” means 
(i)	in the case where only one Autotoll Tag has been issued to the Account Holder, the vehicle in respect of which such Autotoll Tag is issued, details of which are set out in the Application Form or provided during Tag Activation, as amended with the consent of Autotoll from time to time, and all references to “a Specified Vehicle” and “any Specified Vehicle” means such vehicle; and 
(ii)	if more than one Autotoll Tag has been issued to the Account Holder, all vehicles in respect of which an Autotoll Tag has been issued collectively details of which are set out in the Application Form or provided during Tag Activation, as amended with the consent of Autotoll from time to time and “any Specified Vehicle” or “a Specified Vehicle” means any one of them and reference to the Specified Vehicle related to an Autotoll Tag means the vehicle in relation to which such Autotoll Tag has been issued.
(r)	 “Tag Activation” means the prescribed procedures to activate the Autotoll Tag supplied to a person via Autotoll’s website or hotline without the completion and submission of an application form.
(s)	“Tag Deposit” means the tag deposit referred to in clause 8.
(t)	“Terms” means these terms and conditions as amended from time to time.
(u)	“Tolls” means all tolls, fees, charges, taxes, duties and other sums payable by the Account Holder for using the Toll Sites.
(v)	“Toll Sites” means any road, lane, bridge, tunnel or other site within Hong Kong the Toll for which can be paid by the Account Holder using the Autotoll Tag from time to time.
1.2	In these Terms, unless the context otherwise requires:
(a)	references to clauses are to clauses of the Agreement;
(b)	words denoting one gender shall include all other genders;
(c)	words denoting the singular shall include the plural and vice versa; and
(d)	the word “person” includes an individual, partnership, corporation or unincorporated body and government department.
1.3	In these Terms, reference to an amendment or an amount as published by Autotoll means the amendment or amount as published by Autotoll in its website at www.autotoll.com.hk from time to time.

2.	The Services
2.1	Autotoll shall provide electronic toll collection services to the Account Holder through the use of the Autotoll Tag and the Prepaid Account.
2.2	The Account Holder hereby agrees and acknowledges that:
(a)	Autotoll is not a party to the agreement for the use of the Toll Sites by the Account Holder and shall not be liable to the Account Holder for any act or omission on the part of the owner, operator or manager of the Toll Sites or any accident or incident happened on or within the Toll Sites;
(b)	the use of Toll Sites and the payment of the Toll are subject to relevant regulations, by laws or rules of the relevant Toll Sites;
(c)	any complaint against or dispute with the owner, operator or manager of Toll Sites shall be directed to and settled with such owner, operator or manager direct.
2.3	Autotoll shall not be liable to the Account Holder for the unavailability of the Services at any Toll Site or the cessation of any road, bridge or tunnel to be a Toll Site or failure to record any use of Toll Sites or pay any Toll.
2.4	The Agreement shall take effect on Commencement Date.

3.	The Autotoll Tag
3.1	The Autotoll Tag is provided to the Account Holder for his use according to these Terms shall remain at all times the property of Autotoll.
3.2	The Account Holder shall install an Autotoll Tag at the specific location within the related Specified Vehicle in accordance with the installation instructions provided by Autotoll from time to time.
3.3	An Autotoll Tag shall only be used in relation to the related Specified Vehicle for the sole purpose of paying Tolls and such other purposes as set out in the Related Agreements, if any.
3.4	The Account Holder shall not transfer any Autotoll Tag from the related Specified Vehicle to any other vehicle without the approval of Autotoll which may be granted or withheld by Autotoll at its sole discretion. 
3.5	The Account Holder shall take all reasonable actions to prevent the Autotoll Tag from theft, damage or from being tampered with.
3.6	The Account Holder shall notify Autotoll in the event an Autotoll Tag is lost or damaged and shall pay the Service Charge applicable to the type of the lost or damaged Autotoll Tag.
3.7	The Account Holder shall not tamper with the Autotoll Tag (including but not limited to the software and the data recorded on the Autotoll Tag) in any way.
3.8	The Account Holder shall notify Autotoll as soon as he is aware that an Autotoll Tag is not in good working order and shall cease to use such Autotoll Tag pending a replacement by Autotoll. 
3.9	The Account Holder shall remove the Autotoll Tag from the Specified Vehicle upon the termination of this Agreement.
3.10	Upon request by Autotoll, the Account Holder shall return the Autotoll Tag to Autotoll in good physical and working condition at his own cost to Autotoll upon the termination of this Agreement or at any other times during the continuation of this Agreement, failing which the Account Holder shall pay the applicable Service Charges.
3.11	Autotoll may from time to time change the type of any Autotoll Tag issued to the Account Holder by notice in writing to the Account Holder.

4.	Observation of Light Signals
4.1	The Account Holder shall act on the signals shown by the Signal Lights to the driver of the vehicle when the vehicle installed with the Autotoll Tag passes through the designated lane for the Services in a Toll Site as set out in this clause 4.
4.2	An illuminated green light shown by the Signal Lights means toll has been deducted and no action is required from the Account Holder.
4.3	An illuminated amber dollar sign together with a green light shown by the Signal Lights means the Toll has been deducted; the balance in the Prepaid Account after the deduction of the Toll is below the Minimum Balance and the Account Holder shall transfer funds into the Pre-paid Account unless the arrangements for the automatic transfer of funds into the Prepaid Account are in place.
4.4	An illuminated red dollar sign together with a red light shown by the Signal Lights means the Toll has been deducted; the Prepaid Account has a negative balance after the deduction of the Toll and the Account Holder shall immediately transfer funds into the Prepaid Account pursuant to clause 9.3 whether or not any automatic payment arrangements are in place.
4.5	A red light shown by the Signal Lights means either the Services has been suspended or the Autotoll Tag on the vehicle passing through the designated lane for the Services in the Toll Site cannot be detected or has been suspended, the Toll has not been paid and the Account Holder shall not use such Autotoll Tag further for any purpose and shall contact Autotoll as soon as possible and return such Autotoll Tag if so requested by Autotoll.
4.6	In the event the Account Holder fails to contact Autotoll and/or return an Autotoll Tag to Autotoll upon request pursuant to clause 4.5, the Account Holder shall pay the relevant Service Charges to Autotoll.

5.	Lost or Stolen Autotoll Tag
5.1	The Account Holder shall report the loss or theft of an Autotoll Tag immediately to Autotoll in writing and to the police.
5.2	The Account Holder shall be responsible for all Tolls incurred by the lost or stolen Autotoll Tag until Autotoll has acknowledged to the Account Holder Autotoll’s receipt of such loss or theft report and notwithstanding such acknowledgement, the Administration Fee and all relevant Service Charges relating to the lost or stolen Autotoll Tag shall continue to be payable by the Account Holder.
5.3	Autotoll shall issue a replacement Autotoll Tag to the Account Holder upon his payment of the relevant Service Charge.

6.	Payment of Tolls
6.1	The Account Holder hereby agrees to pay and authorise Autotoll to deduct from the Prepaid Account the amount of the Tolls for the use by the vehicle displaying an Autotoll Tag of the Toll Sites as recorded by the equipment at the Toll Sites or as recorded by the camera at the Toll Sites which in the absence of manifest error and subject to clause 6.3 shall be conclusive evidence of such use.
6.2	In the event the Toll payable by the Account Holder is not recorded or incorrectly recorded or calculated or deducted due to technical issues or unauthorised transfer of an Autotoll Tag or otherwise, Autotoll shall be entitled to deduct the relevant Toll or the shortfall from the Prepaid Account.
6.3	All Tolls deducted pursuant to clauses 6.1 and 6.2 shall be paid to the owner, operator or manager of the relevant Toll Sites provided that such deduction and payment shall be without prejudice to any liability or further payment on the part of the Account Holder to the owner, operator or manager of the relevant Toll Sites under by laws or other regulations governing the use of the relevant Toll Sites.
6.4	Any over deduction of Toll as a result of act or omission or breach of this Agreement on the part of the Account Holder shall not be refunded to the Account Holder unless a refund is received from the relevant owner, operator or manager of the relevant Toll Sites and for the avoidance of doubt, Autotoll shall not be under any obligation to seek any such refund from such owner, operator or manager. 

7.	Fee and payment
7.1	The Account Holder agrees to pay to Autotoll a monthly Administration Fee for his use of the Autotoll Tag and the Services and all Administration Fee paid or deducted shall not be refundable.
7.2	The Administration Fee for the first month shall be payable on the Commencement Date and subsequent Administration Fee shall be paid in the first half of each calendar month.
7.3	The Account Holder further agrees to pay the Service Charges for all administrative actions which he may request Autotoll to perform or which Autotoll may have to undertake or expenses which Autotoll has to incur as a result of the Account Holder’s breach of the Agreement.
7.4	The Administration Fee and the Service Charges unless expressly requested by Autotoll shall be paid by deduction from the Prepaid Account.
7.5	All payments to be made by the Account Holder to Autotoll or deducted from the Prepaid Account under the Agreement of whatever nature shall be made without set-off or counterclaim.

8.	Tag Deposit
8.1	Autotoll shall have the right to impose a Tag Deposit on one or more types of Autotoll Tag it may issue to the Account Holder from time to time to secure the return of the Autotoll Tag in good physical and working condition.
8.2	In the event Tag Deposit is payable by the Account Holder pursuant to clause 8.1 :-
(a)	the Account Holder shall pay the Tag Deposit as published by Autotoll, into the Prepaid Account on Commencement Date;
(b)	Autotoll may at its absolute discretion (but shall not be obliged to do so) deduct the appropriate Service Charges from the Tag Deposit, in the event an Autotoll Tag is lost or damaged or not returned in good physical and working condition and may utilize the Tag Deposit or part thereof to settle such negative or outstanding balance in the Prepaid Account or so much thereof as it thinks fit without notice to the Account Holder;
(c)	if the level of the Tag Deposit is increased by Autotoll or the amount of the Tag Deposit held by Autotoll has been reduced pursuant to clause 8.2(b), the Account Holder shall upon request by Autotoll pay the shortfall into the Prepaid Account to top up the Tag Deposit; 
(d)	the Tag Deposit or the balance thereof shall only be returned to the Account Holder pursuant to clause 13.2.
8.3	In the event that no Tag Deposit is payable by the Account Holder in respect of any Autotoll Tag issued to the Account Holder for the time being, all provisions regarding or referring to the Tag Deposit in the Terms other than in this clause 8 shall not be applicable provided that this shall be without prejudice to Autotoll’s right to impose Tag Deposit subsequently on any Autotoll Tag or require the Account Holder to change any Autotoll Tag to a type that require Tag Deposit in which case such provisions shall be applicable thereafter.

9.	Prepaid Account
9.1	Autotoll shall open a Prepaid Account for the Account Holder for the purpose of the Agreement and the Account Holder shall pay into the Prepaid Account the following amounts on the Commencement Date:
(a)	Prepaid Amount; and
(b)	other amount specified by Autotoll to be payable on Commencement Date.
9.2	Autotoll may deduct from the Prepaid Account:
(a)	the Tolls pursuant to clauses 6.1 and 6.2;
(b)	the Administration Fee and applicable Services Charges;
(c)	any amount payable by the Account Holder to members of the Autotoll Group pursuant to the Agreement or the Related Agreements; and
(d)	other amounts owed to Autotoll by the Account Holder of whatever nature.
9.3	The Account Holder agrees that in the event the balance of the Prepaid Account (excluding the Tag Deposit) is below the Minimum Balance, he shall forthwith transfer or procure the transfer by such method as agreed with Autotoll an amount not less than the Prepaid Amount into the Prepaid Account.
9.4	If the balance of the Prepaid Account (excluding the Tag Deposit) is insufficient to meet the deduction of any sum deductible from the Prepaid Account, Autotoll may (but shall not be obliged to) nevertheless deduct the relevant sum or any part thereof at its absolute discretion provided that Autotoll shall not be liable to Account Holder in the event Autotoll decides not to make such deduction.
9.5	A monthly statement showing details of the transactions in the Prepaid Account during a calendar month and the balance in the Prepaid Account at the end of such month shall be made available to the Account Holder via its website or sent to the Account Holder and the information contained in the monthly statement shall be deemed to be correct unless any inaccuracy is reported to Autotoll within 30 days from the date the statement is available or sent to the Account Holder.
9.6	The Account Holder shall pay Service Charge and/or interest at the rate as published by Autotoll from time to time on any negative balance in the Prepaid Account upon request from Autotoll.
9.7	The Account Holder hereby acknowledges that no interest will be payable by Autotoll on the sums in the Prepaid Account, including but not limited to the Tag Deposit.
9.8	In addition to any general right of set-off or other rights conferred by law or under any other agreement, Autotoll may without notice combine or consolidate the outstanding balance on the Prepaid Account with any other account the Account Holder maintains with Autotoll and set-off or transfer any money standing to the credit of the Prepaid Account or such other account in or towards satisfaction of the Account Holder’s liability to Autotoll whether under the Agreement or otherwise.
9.9	The Account Holder’s liability to Autotoll for failure to maintain the Prepaid Account in accordance with clause 9.3 shall be in addition to any penalty or fine under the regulations or by-laws of the Toll Sites for failure to make payment.


10.	Account Holder’s Fund
10.1	Autotoll shall hold the Account Holder’s Fund on trust for the Account Holder on the terms and conditions as set out in this clause 10.
10.2	Autotoll shall as and when such entitlement arises, pay out of the Account Holder’s Fund to itself beneficially sums to which it is entitled from time to time under the Agreement, to be used by Autotoll in accordance with the instructions from the Account Holder and the Agreement.
10.3	Autotoll shall place the Account Holder’s Fund in a segregated bank account with a licensed bank in Hong Kong selected by Autotoll from time to time.
10.4	Autotoll shall be entitled to invest the Account Holder’s Fund but only in accordance with any relevant regulatory requirements as directed by the Hong Kong Monetary Authority from time to time.
10.5	Autotoll’s role as trustee of the Account Holder’s Fund shall be without prejudice to:-
(a)	the right of Autotoll to charge and receive payment and/or make deduction in the manner as set out in the Agreement and shall not be required to account to the Account Holder for those receipts; and
(b)	the right of Autotoll as referred to in clause 9.8;
10.6	Notwithstanding the holding of the Account Holder’s Fund by Autotoll as trustee:-
(a)	Autotoll shall not be obliged to deal with the Account Holder’s Fund in any manner as directed by the Account Holder prior to its return to the Account Holder;
(b)	Autotoll shall not be required to provide any account of the Account Holder’s Fund to the Account Holder other than the monthly statements as referred to in clause 9.5;
(c)	Autotoll shall be entitled to the income generated by the Account Holder’s Fund and/or assets representing the same from time to time and shall not be required to account to the Account Holder for any such income;
(d)	Autotoll may at its sole discretion appoint agents, nominees and custodians in respect of the management of the Account Holder’s Fund; and
(e)	the Account Holder shall have no right to direct the retirement of Autotoll as trustee of the Account Holder’s Fund or the substitution or appointment of any other trustee in respect of the Account Holder’s Fund.
10.7	The statutory duty of care on the part of a trustee as set out in the Trustee Ordinance (Chapter 29 of the laws of Hong Kong) shall not apply to Autotoll in respect of the Account Holder’s Fund.
10.8	Autotoll shall return to the Account Holder the Account Holder’s Fund after the deduction of all amounts deductible therefrom pursuant to the Agreement pursuant to clause 13.2:-
(a)	upon the termination of the Agreement;
(b)	when Autotoll is unable to meet its obligations in respect of the its business under Section 8R of the Payment Systems and Stored Value Facilities Ordinance (Cap. 584);
(c)	upon the dissolution of Autotoll;
(d)	upon the cessation by Autotoll of its business of providing the Services;
(e)	upon the revocation or non-renewal of the Licence.
10.9	Autotoll’s obligations as a trustee owe to the Account Holder will be fully discharged upon return of the Account Holder’s Fund to the Account Holder.

11.	Suspension of the Services
11.1	Autotoll shall be entitled to suspend the Services without liability to the Account Holder without prior notice to the Account Holder if the Account Holder shall be in breach of any of the terms and conditions of the Agreement, any Related Agreement or any other agreements or arrangements between Autotoll and the Account Holder or if the continuing provision of the Services may prejudice the interest of Autotoll.
11.2	Upon the suspension of the Services, a red light will be shown by the Signal Lights when the vehicle installed with the Autotoll Tag passes through the designated lane for the Services in the Toll Site and upon the contact by the Account Holder pursuant to clause 4.5, Autotoll shall inform the Account Holder of the suspension and the breach causing the suspension and the Account Holder shall :
(a)	forthwith remedy the breach causing the suspension; and
(b)	until Autotoll’s confirmation on the resumption of the Services, cease to use or purport or attempt to use the Autotoll Tag for payment of any Toll.
11.3	Notwithstanding the suspension of the Services and without prejudice to any other right Autotoll may have in relation to the breach causing the suspension, Autotoll shall be entitled to continue to make deduction from the Prepaid Account pursuant to clause 9.2, include the Administration Fee and the applicable Service Charge.
11.4	Autotoll shall resume the Services once the Account Holder has remedied the breach which caused the suspension to the satisfaction of Autotoll.
11.5	If the breach resulting in the suspension is not remedied within 90 days from the date of the notice referred to in clause 11.2, Autotoll shall have the right (but shall not be obliged) to terminate the Agreement without further notice to the Account Holder.
11.6	Without prejudice to the generality of clause 11.1, Autotoll shall have the right to suspend the Services to the Account Holder without prior notice if:-
(a)	Autotoll receives application from a third party for electronic toll collection service in respect of a vehicle which according to Autotoll’s record is the Specified Vehicle of the Account Holder; or
(b)	the Account Holder uses or attempts to use an Autotoll Tag other than in respect of the related Specified Vehicle.
11.7	Without prejudice to Autotoll’s right under clauses 11.1 and 11.6, Autotoll may suspend the Services in respect of any Autotoll Tag for the reason as set out in clauses 11.1 and 11.6 in which case a red light will be shown when the vehicle installed with such Autotoll Tag passes through the designated lane for the Services in the Toll Site and clause 11.2 shall apply accordingly.

12.	Termination of the Agreement
12.1	Without prejudice to clauses 11.5, 12.2 and 12.3, the Agreement shall terminate automatically in the event:-
(a)	a red light is shown by the Signal Lights due to the suspension of the Services or an Autotoll Tag pursuant to clauses 11.1, 11.6 or 11.7 and the Account Holder fails to contact Autotoll within 12 months following such red light as required by clause 4.5; or 
(b)	the breach resulting in the suspension of the Services or an Autotoll Tag is not remedied within 12 months; or
(c)	the revocation or non-renewal of the Licence.  
12.2	Without prejudice to clauses 11.5, 12.1 and 12.3, Autotoll may terminate the Agreement at any time by giving not less than 7 days’ written notice to the Account Holder without assigning any reason therefor and without incurring any liability to the Account Holder.
12.3	Without prejudice to clauses 11.5, 12.1 and 12.2, Autotoll may terminate the Agreement forthwith by notice to the Account Holder if:
(a)	the Account Holder is in breach of the Agreement and fails to remedy such breach (if capable of remedy) after written notice thereof has been given to the Account Holder;
(b)	the continuing provision of the Services would prejudice the interest of Autotoll;
(c)	the Account Holder (being a corporation) goes into liquidation or has a winding up or receiving order made against it or a receiver is appointed over any of its assets or it enters into a composition or other arrangement with its creditors;
(d)	the Account Holder (being an individual) dies or has filed or been petitioned for bankruptcy or a receiving order has been made against him or he enters into a composition or other arrangement with his creditors.
12.4	The Account Holder may terminate the Agreement at any time by giving written notice to Autotoll.

13.	Consequence of Termination
13.1	Upon the termination of the Agreement for whatever reason, the Account Holder shall immediately cease to use the Autotoll Tag and return the same to Autotoll upon request by Autotoll.
13.2	Autotoll shall return the Account Holder’s Fund to the Account Holder on the applicable date as set out below :-
(a)	in the event the Account Holder is requested by Autotoll to return the Autotoll Tag, 45 days after the later of the day Autotoll is satisfied that all amounts deductible pursuant to clauses 8.2 and 9.2 have been deducted and the day of the return of the Autotoll Tag;
(b)	in the event the Account Holder is not required to return the Autotoll Tag, 45 days after the day Autotoll is satisfied that all amount deductible pursuant to clauses 8.2 and 9.2 have been deducted.
13.3	The termination of the Agreement and the return of the balance of the Account Holder’s Fund pursuant to clause 13.2 shall be without prejudice to the Account Holder’s obligation to pay for the Toll or other amount payable under the Agreement which has not been deducted pursuant to clauses 8.2 and 9.2 for whatever reason or any shortfall after the balance of the Prepaid Account and Tag Deposit have been set off.
13.4	Clauses 13 and 14 of these Terms and any other clause which due to its nature shall continue to apply after termination shall survive the termination of the Agreement and will continue to have effect thereafter.

14.	Indemnity
14.1	The Account Holder hereby agrees to keep Autotoll indemnified and shall hold Autotoll harmless at all times from and against:
(a)	any and all damages, losses, costs (including legal fees), expenses, liability or claims arising from or as a result of the use or performance of the Autotoll Tag or breach of the Agreement on the part of the Account Holder; and
(b)	any and all costs (including legal fees) and expenses incurred in recovering the Autotoll Tag or any amount due to Autotoll under or in connection with the Agreement.

15.	Notice
15.1	Unless otherwise specified in these Terms and without prejudice to clause 4, any notice or document from Autotoll to the Account Holder in accordance with the Agreement shall be sent in any of the ways set out below at the option of Autotoll:
(a)	prepaid post to the address of the Account Holder which shall be deemed to have been received by the Account Holder two days after the date of posting;
(b)	facsimile transmission to the facsimile number provided by the Account Holder for this purpose which shall be deemed to have been received by the Account Holder upon despatch; or
(c)	email to the email address provided by the Account Holder for this purpose which shall be deemed to have been received by the Account Holder upon despatch and the Account Holder accepts the security risk associated with communication by email.
15.2	The address, facsimile number and email address as referred to in clause 15.1 shall be the address, the facsimile number and the email address as provided by the Account Holder to Autotoll in the Application Form or Tag Activation for this purpose as updated in the manner prescribed by Autotoll from time to time and the Account Holder shall inform Autotoll in the manner prescribed by Autotoll in the event there is any change in address, facsimile number or email previously provided to Autotoll and provide Autotoll with the updated information.
15.3	The Account Holder hereby agrees that the notice or document sent to the address, facsimile number and email address referred to in clause 15.2 shall be deemed to have been received pursuant to clause 15.1 and any subsequent return of such notice shall not affect the validity of such notice. 
15.4	Any notice or document from the Account Holder to Autotoll may be sent by facsimile, email, post or personal delivery to the facsimile number, email address or address as prescribed by Autotoll for this purpose and published in its website and all notices to Autotoll shall be considered as received upon its actual receipt by Autotoll.

16.	Miscellaneous
16.1	Autotoll may from time to time amend these Terms, the amount of the Tag Deposit applicable to any type of Autotoll Tag, the Minimum Balance, the Administration Fee and the Service Charge or impose new Service Charge at any time by publishing such not later than 30 days from the relevant effective date and such shall be binding on the Account Holders as from the effective date provided that Autotoll shall not amend the trust arrangements of the Account Holder’s Fund as set out in clause 10.1 without the consent of the Account Holder.
16.2	If any of these Terms are or become invalid, illegal or unenforceable in any respect under any law, the validity, legality and enforceability of the remaining Terms shall not in any way be affected or impaired and such remaining terms and conditions shall remain in full force and effect.
16.3	Any remedy or right expressly set out herein in relation to a breach by the Account Holder shall be without prejudice to and in additional to other right or remedy Autotoll has under law or other part of the Agreement or under any other agreement Autotoll has with the Account Holder.
16.4	Neither the Autotoll Tag nor the rights and liabilities of the Account Holder under the Agreement can be assigned to any other person.
16.5	Autotoll may assign its rights and liability under the Agreement to any third party by notice in writing to the Account Holder and the Account Holder shall sign all reasonable documents to effect such transfer.
16.6	Any waiver by Autotoll of any breach of the Agreement shall be effective only in the instance and for the purpose for which it is given and no failure or delay by Autotoll in exercising or enforcing any right under the Agreement shall operate as a waiver thereof.
16.7	No right of Autotoll may be waived unless agreed in writing by the General Manager or other authorised person of Autotoll.
16.8	The Account Holder shall notify Autotoll promptly in writing of any change in the statements or information provided by the Account Holder in the Application Form or during Tag Activation or as otherwise notified to Autotoll or at any time thereafter and the Account Holder shall indemnify Autotoll for all losses and damages which Autotoll may suffer as a result of any change. Failure to notify Autotoll of the any changes stated in this clause may result in termination of the Services without prior notice and/or payment of relevant Service Charges.
16.9	The Contracts (Rights of Third Parties) Ordinance shall not apply to this Agreement and no person other than Autotoll and the Account Holder shall have any right under this Agreement nor shall this Agreement be enforced by any person other than Autotoll and the Account Holder.
16.10	In the event of any inconsistency between the Chinese version and the English version of the Agreement, the English version shall prevail.

17.	Jurisdiction
This Agreement will be governed by and construed in accordance with the laws of Hong Kong and the parties submit to the non-exclusive jurisdiction of the courts of Hong Kong.






Terms and Conditions for AutoPark
The AutoPark services are subject to and governed by the following terms and conditions: 

1. Definitions and Interpretation

1.1 In these Terms and Conditions, unless the context otherwise requires, the following words and expressions shall have the following meaning:-

(a) “Autotoll Tag” means the Autotoll tag as issued to the Tag Holder pursuant to the Terms and conditions for use of Autotoll Electronic Toll Collection Services;

(b) “Car Park Operators” means the car park operators which have agreed with the Company to accept the use of the Autotoll Tag for the payment of Fees as amended from time to time pursuant to clause 7.1(b) and a “Car Park Operator” means any one of them;

(c) “Car Parks” means car parks equipped to accept the use of Autotoll Tag for the payment of Fees owned and/or operated by the Car Park Operators in Hong Kong as published by the Company in its website’s sub-section headed “Service Locations” under the section headed “Park by Autotoll” or such other notice from time to time;

(d) “Fees” means all car parking fees and other sums payable to the Car Park Operators by the Tag Holder as a result of the parking of the Specified Vehicle at the Car Parks;

(e) “Free Parking Schemes” mean schemes operated by Car Park Operators or any other third parties whereby Tag Holder is allowed to park the Specified Vehicle free of charge for a period of time at the relevant Car Parks;

(f) “Free Parking Time” means the period of time a Tag Holder is allowed to park his Specified Vehicle at a Car Park free of charge pursuant to a Free Parking Scheme;

(g) “Hong Kong” means the Hong Kong Special Administrative Region of the PRC;

(h) “Terms and conditions for use of Autotoll Electronic Toll Collection Services” means the Terms and conditions for use of Autotoll Electronic Toll Collection Services between the Tag Holder and the Company for the use of the Autotoll Tag as amended from time to time;

(i) “Pre-paid Account” means the pre-paid account maintained by the Tag Holder with the Company pursuant to the Terms and conditions for use of Autotoll Electronic Toll Collection Services;

(j) “Services” means the services to be provided by the Company to the Tag Holder as set out in clause 2.1;

(k) “Tag Holder” means the person whose application for the Services has been accepted;

(l) “Terms and Conditions” means these terms and conditions as amended pursuant to clause 7.1(a) from time to time; and

(m) “This Agreement” means the agreement between the Tag Holder and the Company for the provision of the Services pursuant to these Terms and Conditions.

1.2 In these Terms and Conditions, unless the context otherwise requires:

(a) References to clauses are to clauses of these Terms and Conditions; 

(b) Words denoting one gender shall include all other genders; 

(c) Words denoting the singular shall include the plural and vice versa; and 

(d) The word "person" includes a company. 

1.3 Terms which are capitalised in these Terms and Conditions shall have the same definition as set out in the Terms and conditions for use of Autotoll Electronic Toll Collection Services, unless the context requires otherwise or where the term is otherwise defined in these Terms and Conditions.

1.4 In these Terms and Conditions, references to the use of the Autotoll Tag to pay for Fees mean the use of the Autotoll Tag to record the entry and exit times of the Specified Vehicle in respect of the relevant Car Parks and to pay for the Fees through the Pre-paid Account. 
 
2. The Services

2.1 The Company hereby agrees to provide the Tag Holder with the ability to use the Autotoll Tag to pay for the Fees of Car Park Operators incurred by the Tag Holder for parking the Specified Vehicle at the Car Parks and the Company shall debit the Pre-paid Account with the Fees recorded in respect of the Autotoll Tag by the Car Park Operators which shall be deemed to be conclusive and pay such to the Car Park Operators.

2.2 The Company accepts no responsibility for and shall not be liable to the Tag Holder for the refusal of any Car Park Operator to accept the Autotoll Tag for the payment of the Fees for whatever reason and no claim by the Tag Holder against any Car Park Operator shall release the Tag Holder from any of his obligations under this Agreement.

2.3 The Tag Holder agrees and acknowledges that :-

(a) The Company’s obligation is limited to the payment of the Fees to the Car Park Operators in the manner as set out in clause 2.1 and of other fees and charges under or in connection with this Agreement;

(b) The use of the Car Parks is governed by the rules and regulations of the Car Park Operators and the Company has no responsibility or liability in relation thereto; 

(c) Any enquiry, complaint against or dispute with any Car Park Operator shall be directed to such Car Park Operator; 

(d) The Company has no authority, express or implied, to bind the Car Park Operators or to make any representations, warranties or statements on their behalf; 

(e) All parking fees and all other sum payable to Car Park Operators recorded by the Car Park Operators shall be deemed to be incurred by the Tag Holder for parking the Specified Vehicle at the Car Parks notwithstanding that the Autotoll Tag may have been transferred to another vehicle or used by another person with or without the consent or knowledge of the Tag Holder;

(f) None of the Car Park Operators has any authority, express or implied, to bind the Company or to make any representations, warranties or statements on the Company’s behalf; and

(g) The Company is not responsible for the condition, suitability, quality, fitness or safety of any Car Park, any service offered by any Car Park Operator at the Car Parks or for any accident or incident at any Car Park or for any benefit concession or discount offer by the Car Park Operator or for any loss of the Tag Holder in the event he is unable to enjoy any benefit concession or discount of any Car Park Operator as a result of using the Services.

2.4 Notwithstanding the provisions of these Terms and Conditions and the Terms and conditions for use of Autotoll Electronic Toll Collection Services, in the event 

(a) The Fees payable to any Car Park Operator in any single transaction shall exceed the maximum amount the Company may determine from time to time; and 

(b) According to the latest records available to the Car Park Operator, the Pre-paid Account has insufficient funds to use the Services

The Tag Holder shall not be able to pay for such Fees through the Pre-paid Accounts and will have to settle such Fees by such other mean as the relevant Car Park Operator may agree before exiting the relevant Car Park.

2.5 The Tag Holder agrees and acknowledges that there will be a delay between the happening of a transaction involving the Autotoll Tag, including but not limited to the payment of funds into the Pre-paid Account, and that transaction being reflected on the records of the Car Park Operators and whether the use of the Autotoll Tag is accepted or rejected for the payment of Fees shall not be or deemed to be any indication of the level of the then current balance in the Pre-paid Account. 

2.6 The commencement of the Services shall be subject to any activation procedures which the Company may determine from time to time.

2.7 The Company hereby reserves the right to suspend the Services altogether or in respect of certain Car Parks from time to time without prior notice or reason to the Tag Holder. 

2.8 The Company accepts no responsibility for and shall not be liable to the Tag Holder in the event the Tag Holder is unable to enter or exit any Car Park using the Autotoll Tag for whatever reason. 

2.9 Notwithstanding any other provisions of these Terms and Conditions, the Services shall only be available to a Specified Vehicle which is either a private car or light goods vehicle and not other types of vehicle.

3.  Charges and Payment

3.1 In consideration of the provision of the Services by the Company, the Tag Holder shall pay to the Company such fee and/or charges as the Company may determine from time to time.

3.2 All payments to be made by the Tag Holder under these Terms and Conditions shall be made without set-off or counterclaim and without notice to or further authority or consent from the Tag Holder.

3.3 The Tag Holder hereby irrevocably authorises the Company to debit the Pre-paid Account with :-

(a) The relevant Fees as notified to the Company by the Car Park Operators as recorded by them in respect of the Autotoll Tag;

(b) All payments, fees or charges payable to the Company under these Terms and Conditions without notice to or further authority or consent from the Tag Holder.

3.4 Subject to clause 4, the Tag Holder hereby agrees that the Fees debited from the Pre-paid Account shall not be refunded or credited back to the Pre-paid Account without the consent of the Company and the relevant Car Park Operator notwithstanding any dispute between the Tag Holder and the relevant Car Park Operator except where debit is made as a result of errors on the part of the Company in which case the remedy of the Tag Holder shall be limited to the credit of the relevant amount.

3.5 For the avoidance of doubt, the Tag Holder hereby agrees that this Agreement is a Related Agreement as referred to in the Terms and conditions for use of Autotoll Electronic Toll Collection Services under which debit can be made to the Pre-paid Account under the provisions of the Terms and conditions for use of Autotoll Electronic Toll Collection Services.

4.  Free Parking Schemes

4.1 In the event that the Tag Holder is entitled to any Free Parking Time, the Tag Holder hereby acknowledges and agrees that the Company shall first debit the Fees for the Free Parking Time from the Pre-paid Account in accordance with clause 2.1 and when the procedures for claiming the Free Parking Time as prescribed by the relevant Car Park Operator and/or the Company from time to time is completed, the Company shall credit the Pre-paid Account with the amount debited for such Free Parking Time.  For the purpose of this clause, the claim procedures for the Free Parking Time shall not be completed until the relevant Car Park Operator has confirmed the Free Parking Time.

4.2 The Tag Holder acknowledges and agrees that the Company is not a party to any Free Parking Scheme and shall not be liable in any way in the event the Tag Holder is unable to claim the Free Parking Time for whatever reason or to complete the claim procedures for Free Parking Time and any dispute or complaint against any Free Parking Scheme shall be directed at the relevant Car Park Operator.

4.3 The Company shall not credit the Pre-paid Account with any Free Parking Time if the procedures for claiming the same is not completed prior to the termination of this Agreement.

5. Termination 

5.1 The Company may terminate this Agreement at any time by written notice to the Tag Holder without assigning any reason therefor and without incurring any liability to the Tag Holder. 

5.2 This Agreement shall be terminated immediately without notice to the Tag Holder in any of the following circumstances:-

(a) The Tag Holder is in breach of any provision of these Terms and Conditions and fails to remedy such breach (if capable of remedy) within seven days from the date the written notice thereof is given to the Tag Holder by the Company; or

(b) The termination of the Terms and conditions for use of Autotoll Electronic Toll Collection Services for whatever reason.

5.3 The Tag Holder may terminate this Agreement at any time by written notice to the Company.

5.4 Notwithstanding termination of this Agreement, the Company shall be entitled to debit the Pre-paid Account with all Fees recorded in respect of the Autotoll Tag by the Car Park Operators.  

5.5 Termination of this Agreement shall be without prejudice to any other agreement the Company may have with the Tag Holder, including but not limited to the Terms and conditions for use of Autotoll Electronic Toll Collection Services, and the continuity of such other agreement shall not be affected by the termination of this Agreement for whatever reason unless such other agreement so provided.

 
6. Indemnity

Without prejudice to the Company’s rights under clause 11 of the Terms and conditions for use of Autotoll Electronic Toll Collection Services, the Tag Holder shall keep the Company indemnified and shall hold the Company harmless at all times from and against any and all damage, loss, costs, expenses, liability or claims arising from or as a result of :-

6.1 The provision of the Services or the use of the Autotoll Tag under or in connection with these Terms and Conditions by the Tag Holder or any other person or persons with or without his authorisation or knowledge;

6.2 Any breach of these Terms and Conditions on the part of the Tag Holder.

7. Miscellaneous  

7.1 The Company may from time to time:-

(a) Amend the terms of these Terms and Conditions,

(b) Add, replace and reduce the list of Car Park Operators and/or Car Parks covered by the Services;

(c) Determine or amend the maximum Fees for each transaction as referred to in clause 2.4(a);

(d) Determine or amend the activation procedures for the use of the Services;

(e) Determine or change fees or charges payable by the Tag Holder to the Company under or in connection with this Agreement;

(f) Prescribe the procedures for claiming Free Parking Time

and the Tag Holder shall be deemed to have knowledge of and shall be bound by such if the same shall have been displayed in a conspicuous place at the Service Centre or drawn to the attention of the Tag Holder in such other manner as the Company thinks fit including but not limited to posting the same at the website of the Company.  

7.2 If any provision of these Terms and Conditions is or become invalid, illegal or unenforceable in any respect under any law, the validity, legality and enforceability of the remaining provisions of these Terms and Conditions shall not in any way be affected or impaired and such remaining provisions shall remain in full force and effect.  

7.3 Any waiver by the Company of any breach of these Terms and Conditions shall be effective only in the instance and for the purpose for which it is given and no failure or delay by the Company in exercising or enforcing any right under these Terms and Conditions shall operate as a waiver thereof. 

7.4 Subject to clause 7.1, any notice from the Company to the Tag Holder and any statement, record, copy or other information to be sent to the Tag Holder in accordance with the provisions hereof shall be sent by:-

(a) Prepaid post to the address of the Tag Holder use for the same purposes under the Terms and conditions for use of Autotoll Electronic Toll Collection Services which shall be deemed to have been received by the Tag Holder two days after the date of posting;

(b) Facsimile transmission to the facsimile number provided by the Tag Holder for this purpose which shall be deemed to have been received by the Tag Holder upon despatch; and

(c) Email to the email address provided by the Tag Holder for this purpose which shall be deemed to have been received by the Tag Holder upon despatch. 

7.5 Any notice from the Tag Holder to the Company shall be sent by prepaid post to the Service Centre and shall take effect upon its actual receipt by the Company.

7.6 The information and data collected by the Company for the purpose of this Agreement and the usage of the Autotoll Tag by the Tag Holder pursuant to this Agreement shall be deemed to be information and data supplied in connection with the Application Form under the Terms and conditions for use of Autotoll Electronic Toll Collection Services and the provisions of clause 10 of the Terms and conditions for use of Autotoll Electronic Toll Collection Services will apply accordingly.  

7.7 In the event of any inconsistency between the Chinese version and the English version of these Terms and Conditions, the English version shall prevail.

8. Governing Law

8.1 These Terms and Conditions and this Agreement shall be governed by and construed in accordance with the laws of Hong Kong.

8.2 The parties submit to the non-exclusive jurisdiction of the courts of Hong Kong.

I/We warrant that the information I/we set out in this application form (and in the attachments) is true and correct and authorize Autotoll Limited to verify it from any source in a justifiable manner. By submitting this application form, I/we agree to be bound by the Terms and Conditions for use of Autotoll Electronic Toll Collection Services, and where applicable the terms and conditions for the “Guangdong Unitoll Service”, “AutoPark”, and “Caltex Fuel Discount Offer & Payment Service” upon acceptance by Autotoll Limited of this application. I/We understand that copies of the Terms and Conditions for use of Autotoll Electronic Toll Collection Services, the latest version of PICS, the terms and conditions for “Guangdong Unitoll Service”, “AutoPark” and “Caltex Fuel Discount Offer & Payment Service” are posted at the Autotoll Limited’s website at www.autotoll.com.hk and are available upon request. I/We acknowledge that Autotoll Limited may refuse to accept this application without giving any reason therefor.

Definitions and Tunnel Toll Fees of Container Vehicles

a)	Only 5-axle and 6-axle Autotoll tags are available for container vehicles.
b)	All 2-axle container tractors should apply for a 5-axle Autotoll tag. All 2-axle container vehicles using Autotoll lanes will be charged as a 5-axle container vehicle, even if the total number of axles is less than five. Container vehicles with more than five axles should use the manual toll lanes.
c)	All 3-axle container vehicles should apply for a 6-axle Autotoll tag. All 3-axle container vehicles using Autotoll lanes will be charged as a 6-axle container vehicle, even if the total number of axles is less than six. Container vehicles with more than six axles should use the manual toll lanes.

Autotoll service for tow truck is currently unavailable (i.e. the vehicle with its Body Type classified as “Recovery Lorry” in the Vehicle Registration Document)
